KIOR IPO and DOE Money

I had this nagging feeling somewhere in the back of my brain that Condi Rice’s company KIOR had some DOE money for the alchemy of making diesel from wood.

I remember back in February 2011 KIOR boasted they had reached agreement with the Department of Entropy for a billion dollar loan and that the company and the US DOE had signed a term sheet.

Quoting KIOR

February 3, 2011
KiOR Receives Loan Guarantee Term Sheet for Over $1 Billion Project From U.S. Department of Energy
PASADENA, TX (February 3, 2011) – KiOR, Inc., announced today that it has received a term sheet for a loan guarantee supporting an over $1 billion biofuels project from the U.S. Department of Energy’s Loan Guarantee Program. The project would convert wood biomass into drop in biofuels such as gasoline and diesel fuel.

But by May 2011 the company dropped the idea of borrowing money from the DOE in the year 2011.  This per Gigaom:

“There will be no loan guarantee for recently public biofuel company KiOR, at least this year. According to correspondence with the SEC, KiOR put its application for 2011 on hold in May, with plans to roll it over to 2012 — assuming the program gets funded for 2012.”
Kior went with their IPO on June 24, 2011 and raised $150 million from the public offering.

Now we have the timeline from February 2011 till late June 2011 when KIOR and the DOE dropped or postponed the government loans and the company took $150 million from the unsuspecting public.  Perhaps there are documents at the DOE that show the DOE got cold feet about the KIOR alchemy?  You have to remember that Solyndra was crumbling right in front of Dr. Chu and his Department of Entropy.  Solyndra went bankrupt on September 1, 2011.

I do hope that the lawyers who have suits against KIOR and its board and officers go after any information as to why the DOE got cold feet on loaning money to KIOR in May 2011 when they had executed a term sheet with the company three months earlier.  There has to be a reason why KIOR did not get the ultra-cheap Obama money.   It would be interesting to find out that the DOE had doubts about KIOR’s alchemy and yet the company went ahead with an IPO in June.

Condi Rice joined the board of KIOR the beginning of July 2011 but the news of her joining the board was made on June 22, 2011 a few days before the IPO

Now if KIOR was not brought to you by Vinod Khosla and Condi Rice and it had not agreed to DOE loans and then the loans mysteriously disappeared as Solyndra was crumbling one may say all these date are simply coincidence.  I think the lawyers who are suing KIOR and officers and directors about false statements regarding production from the Columbus Mississippi facility should also investigate the IPO and the DOE loan that disappeared just before the IPO.  Vinod Khosla would have loved that “cheap Obama money” so the loan did not disappear because the interest rate was too high.  The loan disappeared most probably because the DOE realized the alchemy would not work.

Condi may think KIOR made cellulosic fuel a “reality” I happen to think the whole thing was a fake out from day one.  I smelled that rat way back in June 2011 and blogged about it.

NEW YORK, Aug. 20, 2013 /PRNewswire/ -- Pomerantz Grossman Hufford Dahlstrom & Gross LLP has filed a class action lawsuit against Kior, Inc. ("Kior" or the "Company") (KIOR) and certain of its officers.  The class action, filed in United States District Court, Southern District of Texas, and docketed under 13-cv-2443, is on behalf of a class consisting of all persons or entities who purchased or otherwise acquired securities of Kior between August 14, 2012 and August 7, 2013 both dates inclusive (the "Class Period"). This class action seeks to recover damages against the Company and certain of its officers and directors as a result of alleged violations of the federal securities laws pursuant to Sections 10(b) and 20(a) of the Securities Exchange Act of 1934 and Rule 10b-5 promulgated thereunder.

Kior is a renewable biofuels manufacturer that has developed a proprietary technology platform to convert cellulose and other plant-derived materials into renewable crude oil that is processed into gasoline, diesel and other fuels. In 2012, the Company completed its first commercial scale biofuel facility in Columbus, Mississippi.

The Complaint alleges that throughout the Class Period, Defendants made false and/or misleading statements, as well as failed to disclose material adverse facts about the Company's business, operations, and prospects. Specifically, Defendants made false and/or misleading statements and/or failed to disclose that: (1) the Company was not on track to produce commercially meaningful quantities of biofuel at the Columbus facility in the amounts projected by management; (2) the Company lacked adequate internal and financial controls over its calculation and forecasting of production levels at the Columbus facility; and (3) as a result of the foregoing, the Company's statements were materially false and misleading at all relevant times.

On August 8, 2013, the Company disclosed to investors that it had only shipped 75,000 gallons of biofuel during the second quarter of 2013 – far below the 300,000-500,000 gallons Defendant Cannon had promised investors less than three months before. On this news, Kior shares fell $2.12 per share or over 44%, over the course of the next six trading sessions, from a close of $4.76 per share on August 7, 2013 to a close of $2.62 per share on August 15, 2013.

EPA Lies About MPG

About 15 months ago, I blogged how the EPA was lying to the American public about the equivalent miles per gallon (MPG) of the electric vehicles.  In that scam that came down from upon high in the White House their trick was to assume power generated in the US grid came about with 100% efficiency.

Here is a link that references that blog

Well yesterday we found out that Ford with the EPA’s compliance lied about the MPG of the CMax Hybrid.  Now the EPA may actually wake up and make automakers show real data on the fuel usage of their cars.

I suggest to Congress that they hold hearings into the EPA and all the MPGs of all vehicles including plug in and fully electric vehicles.  We deserve to have the truth about the “greenness” of the Tesla as well as the CMax.   I have blogged that when one accounts for the primary energy needed to produce the behemoth battery pack in a Tesla Model S as well as the generation efficiency of the US grid, it only achieves 22 MPG not the 89 MPG the EPA allows Teasla to advertise.  Ford lied by 9% when the rating was cut from 47 MPG to 43 MPG.  A math Quiz:  How much is Tesla lying when they have to cut their rating from 89 MPG to 22MPG?

I would ask my congressman, Jared Huffman, to hold the hearing but the coward won’t speak to me or meet with me.  He is a real work of green art.  The hypocrite held a panel discussion nearby my house this week and proudly boasted the following on his public facebook page that he has blocked me from commenting on.

“Great community forum in Mill Valley tonight on climate change -- huge crowd, terrific organizing by OFA and other hosts, and lots of desire to do everything possible to confront this hugely important issue.”

Well Mr. Huffman let’s do everything possible to confront this hugely important issue and first give me 15 minutes of your time to teach you thermo 101, then second  get to the bottom of your involvement with Bloom Energy via AT&T, then third clean up and fix the EPA, and then fourth  do some real green work instead of just talking nonsense.  Your huge crowd of followers and admirers blindly believe the lies and junk you and the EPA tell them.

Great stuff on KIOR this week with Condi Rice now certainly headed to her Rite Aid store for more Depends, Peptobismal, Immodium, and Charmin.  Greentechmedia the leading green news site came down hard on KIOR.

KIOR fakes out their claimed gallons per ton of wood.  The EPA fakes out Miles Per Gallon.  Multiplying the lies of KIOR by the lies of the EPA we get the big lie on the miles per ton of wood one can travel without using fossil fuel.  Is it not time to end this charade?   Is it not time for the whole green lie to be exposed?  Is it not time for the “greenest” congressman (Mr. Huffman) to face the Green Machine and explain how his largest individual contributor (AT&T) and Bloom’s largest customer got all those millions of dollars of utility customers’ money in California.

Mr. Huffman then the crowds will be really huge when you come to speak your double dribble about climate change from both sides of your mouth.  Sorry I got it wrong Mr. Huffman did not play basketball he was a volleyball star and knows about the “double hit rule”.    The real double hit rule will be when the second former secretary of state (Col Powell at Bloom) is seen following the first former secretary of state (Con Rice at KIOR) into a Rite Aid and filling up his shopping cart with Depends, Peptobismal, Immodium, and double rolls of Charmin.

KIOR at $2.62

Can Condi Rice and Vinod Khosla save KIOR?.  Since last Friday when the company announced horrid results, the stock has tumbled and hit $2.62 at the close today.  Come on Condi you have all the connections, surely you can pull a rabbit out of the hat to shore up the company???  Vinod you were a founder Sun Microsystems and a partner at Kleiner Perkins.  Surely you can do it???    You can save your thermodynamic pipedream!  Vinod after all you are the father of all things green on Sand Hill Road.

Forget about the laws of thermodynamics, let's see if these two big shots can save the company based on the alchemy of turning wood into diesel.  Only a few months ago, Condi called their business a "reality".  Now let's see if she can really perform as a director of this company.  Vinod and his KIOR team gave Condi 20,298 shares for free on June 20, 2012.  On that date it was reported she owned 243,798 shares directly in the company.  Condi stood to gain handsomely had the company actually been a "reality".

Vinod did not select Condi for any purpose other than to connect his company to the powerful.  He certainly did not hire her for her knowledge of chemistry and thermodynamics.  He did not hire her to fell trees or clean the soot in his shiny fluidized bed reactors.  He did not hire her to solve chemical engineering problems.  He hired her for her connections.  So Condi get on it!!  Raise money for the company that needs it desperately. Condi has a fiduciary duty to save the company and the investments the widows and orphans made in the company she so eagerly touted.

Dr. Chu is real close to Condi's office at Stanford University.  Perhaps he can help with some DOE loans.   But I guess Dr. Chu's old boss is tired of the wasted money on Dr. Chu's green dreams.  The boss is also tired of Egypt it ruined his vacation at Martha's Vineyard.  He is tired of just about everything but he still believes in hope.  Maybe there is hope for KIOR to be in the business of turning wood into sawdust.

Condi don't feel to bad you are in fine company with Colin Powell another former Secreatry of State on the board of another "green" company called Bloom Energy.  Bloom has the FTC breathing down their back.  You have the SEC and several law firms breathing down your back.  These weapons of mass combustion are so difficult to find, unless you simply drill a directional well and do some fracking.  I can't wait to see Condi pull this rabbit out of the hat.

Shareholder Lawsuits Coming To Kior

After the miss on revenues the lawsuits against KIOR will start. A law firm that specializes in shareholders rights has announced they will be going after KIOR and its officers and directors.    The stock hit an all time low today of $2.72.   Can Condi get the rich and famous to help pull KIOR out of the tailspin?  Can Vinod Khosla continue to fund the alchemic company?  Will the folks in Alberta really chase Jugdeep all the way to Medicine Hat?   These are questions yet to be answered.  What is certain is they could not yield 72 gallons of liquid transportation fuel from a bone dry ton of yellow pine.

Another law firm is going after them.  Condi was seen at the Rite Aid Pharmacy in Palo Alto stocking up on Immodium and Depends.

KIOR Tumbles

It is a good thing investors listened to the green machine and not the gangrene crowd at biofuelsdigest  (BFD)

Yeah the guys at BFD (got to love the acronym) awarded Kior their first prize for a "thermochemical" process last Christmas.  BFD does not know Shinola about Thermo yet they give out prizes!!!

http://www.biofuelsdigest.com/bdigest/2012/12/31/biofuels-digests-2012-best-project-thermochemical-award-kior-columbus-mississippi/

Today the BFD guys wrote nonsense about the quarterly results

http://www.biofuelsdigest.com/bdigest/2013/08/12/kior-mulls-columbus-ii-facility-to-accelerate-path-to-profits-as-2013-production-forecast-is-cut/

You all want to know what the BFD about KIOR really is?  Condi Rice is on their board of directors.  Haley Barbour the former GOP governor of Mississippi gave them a big loan from that poor state.  And Jugdeep Bachhar a big muckety muck from the Alberta Canada sovereign wealth fund previously was on the board of directors as the Province of Alberta Canada has a big stake in the alchemic company.

Jugdeep is still on the board of Bloom Energy where he looks after Alberta's investment in that gangrene company.  Vinod Khosla is a former Kleiner Perkins partner and is the man behind Kior.  KP is behind Bloom.  Jugdeep is in deep both at Bloom and Kior.

I think there will be another form of stampede on the Canadian prairie.  The citizens who live in Alberta and who contributed to this provincial sovereign wealth fund should chase Jugdeep all the way from Calgary to Medicine Hat where they can force some castor oil into him so they can get the "story" out of him.

That folks is the BFD on KIOR and remember there is no fuel like an old fuel and fossil fuels are very old. Kior claimed to do in seconds what nature took 200 million years to do. Castor oil takes about five minutes to help nature.

KIOR Admits They May Have Difficulty Continuing

As I posted yesterday KIOR's results were dismal and Condi as a board member must be seeking legal counsel for her dumb remarks about the company back in March.

Here is the filing the company posted with the SEC on August 9th.  You have to love the last sentence that I quote:

"The lack of any committed sources of financing other than the remaining availability under our Loan and Security Agreement with 1538731 Alberta Ltd. as agent and lender, 1538716 Alberta Ltd. as lender, who we refer to collectively as the Alberta Lenders, and KFT Trust, Vinod Khosla, Trustee, as lender, who we refer to as Khosla, raises substantial doubt about our ability to continue as a going concern."

This discussion contains forward-looking statements that involve risks and uncertainties. Our actual results could differ materially from those anticipated in the forward-looking statements as a result of various important factors, including those discussed below and in the section entitled "Risk Factors" included in Item 1A of Part II below and in Item 1A of Part I of our Annual Report. Due to the fact that we have generated only limited revenue to date, we believe that the financial information contained in this report is not indicative of, or comparable to, the financial profile that we expect to have if and when we begin to generate significant revenues. We undertake no obligation to update publicly any forward-looking statements, even if new information becomes available or other events occur in the future, except to the extent required by law.

Overview
We are a next-generation renewable fuels company. We have developed a proprietary catalytic process that allows us to produce cellulosic gasoline and diesel from abundant, lignocellulosic biomass. Our cellulosic gasoline and diesel are true hydrocarbon fuels which are similar to their traditional petroleum-based counterparts and yet we estimate they will result in over 60% less life cycle greenhouse gas emissions. While other renewable fuels are derived from soft starches, such as corn starch or cane sugar, for ethanol, or from soy and other vegetable oils for biodiesel, cellulosic fuel is derived from lignocellulose found in wood, grasses and the non-edible portions of plants. Our biomass-to-cellulosic fuel technology platform combines our proprietary catalyst systems with fluid catalytic cracking, or FCC, processes that have been used in crude oil refineries to produce gasoline for over 60 years.

In April 2012, we mechanically completed our initial-scale commercial production facility in Columbus, Mississippi. This first facility is designed to produce up to 13 million gallons of cellulosic diesel and gasoline per year. During the fourth quarter of 2012, we successfully commissioned our proprietary biomass fluid catalytic cracking, or BFCC, operation at the Columbus facility, and produced our first "on spec" cellulosic intermediate oil in limited quantities. In the first quarter of 2013, we successfully commissioned the Columbus plant's hydrotreater and fractionation units, and began our first cellulosic diesel and gasoline shipments in March 2013 and June 2013, respectively. We have had limited continuous production at our Columbus facility and have not yet reached "steady state" production.

We currently intend to begin construction of our next commercial production facility during the first quarter of 2014, which we expect will be either an expansion of our production capabilities in Columbus, Mississippi through the construction of a second initial scale commercial production facility or the construction of a standard commercial production facility in Natchez, Mississippi, subject to our ability to raise capital. If we build our next commercial production facility adjacent to our current initial scale commercial facility in Columbus, Mississippi, we believe it will be able to produce up to 13 million gallons of cellulosic diesel and gasoline per year, approximately the same amount of our current Columbus facility. If we build our next commercial production facility in Natchez, Mississippi, we believe it will be able to produce up to 40 million gallons of cellulosic diesel and gasoline per year, approximately three times the amount of our current Columbus facility. We believe the standard scale commercial facility will be the model for our standard commercial facilities in order to take advantage of economies of scale. Our business plan contemplates that we will need to raise additional funds to build our next commercial production facilities and subsequent facilities, continue the development of our technology and products and commercialize any products resulting from our research and development efforts.

We were incorporated and commenced operations in July 2007. Since our inception, we have operated as a development stage company, performing extensive research and development to develop, enhance, refine and commercialize our biomass-to-cellulosic fuel technology platform. Until recently, we have focused our efforts on research and development and the construction of our Columbus facility. As a result, we have generated $265.4 million of operating losses and an accumulated deficit of $296.6 million from our inception through June 30, 2013. We expect to continue to incur operating losses through at least 2015 as we continue into the commercialization stage of our business. We must raise capital in one or more external equity and/or debt financings by the end of September 2013 to fund the cash requirements of our ongoing operations. The lack of any committed sources of financing other than the remaining availability under our Loan and Security Agreement with 1538731 Alberta Ltd. as agent and lender, 1538716 Alberta Ltd. as lender, who we refer to collectively as the Alberta Lenders, and KFT Trust, Vinod Khosla, Trustee, as lender, who we refer to as Khosla, raises substantial doubt about our ability to continue as a going concern.
